Terms & Conditions (Plans & Payments)

1) Scope of services

We provide consulting and software (SaaS onboarding) for business expansion and operations. We do not receive, hold, or transfer client funds and do not process payments for third parties. We are not a bank/MSB/PayFac or a law/tax firm. When legal/tax work is required, we coordinate with licensed professionals engaged by you or by vetted partners.

2) Using our site & purchasing

By purchasing a plan you agree to these Terms, the plan page, our Privacy Policy, and Refunds & Cancellations. You represent that you have authority to bind your company and will use the services only for lawful business purposes.

3) Prices, taxes & payment processing

Prices are in USD unless stated and exclude taxes. Payments are processed by a third-party provider; we don’t store card data. You authorize us to charge your selected method per the plan’s billing cycle. If a payment fails, we may retry and/or suspend access until paid.

4) Plan types & billing

A. Subscriptions/Retainers (Recurring): billed monthly or annually in advance and renew automatically until you cancel. Cancel anytime (account portal or email support); cancellation stops future charges—elapsed periods are non-refundable. Setup/implementation fees (if any) are non-refundable after provisioning.
B. One-time Services & Bundles: billed once, with the duration shown on the plan. Refundable 100% before kickoff. “Kickoff” = (i) intake form submitted or (ii) kickoff call held or (iii) we start work—whichever occurs first. After kickoff, fees are non-refundable.
C. Bookings/Sessions: you may reschedule/cancel ≥24h before start for a full refund; <24h, no-show or after start → non-refundable.
D. Digital Products (templates/playbooks): delivered instantly and non-refundable once delivered.

5) Delivery & timelines

We’ll use commercially reasonable efforts to meet stated timelines. Schedules depend on your responsiveness and third parties (banks, authorities, PSPs); approvals and timeframes they control are not guaranteed.

6) What’s included / excluded

Each plan page lists inclusions. Unless expressly included, the following are excluded: legal/tax opinions, government/bank/PSP fees, account approvals, money transmission/custody, merchant-of-record or sub-merchant operations, and custom development. Work is performed on your bank/PSP accounts and systems.

7) Your responsibilities

Provide accurate, complete information; designate a point of contact; respond within reasonable timeframes; and comply with all laws, card-network and PSP rules. You pay government/bank/PSP fees directly to those entities.

8) Compliance, KYC & sanctions

We may request KYC/KYB information and may refuse, suspend, or terminate if information is incomplete/incorrect, if service use would violate law/sanctions, or presents unacceptable risk. We do not serve sanctioned persons/jurisdictions. Bank/government approvals are independent decisions.

9) Intellectual property & license

Materials we provide (documents, templates, playbooks, configurations) are licensed to you for internal business use. You may not resell, publish, or sublicense without written permission. Your data and trademarks remain yours.

10) Confidentiality & data protection

Each party will protect the other’s Confidential Information and use it only to perform under these Terms. We handle personal data under our Privacy Policy and applicable law.

11) Acceptable use

No illegal, deceptive, or high-risk activity; no payment aggregation or proxy processing; no attempt to use our services to conceal beneficial ownership or circumvent KYC/AML controls.

12) Changes to plans & features

We may update plan features, templates, or deliverables of equal or greater value to meet objectives. Price or feature changes apply prospectively and, for recurring plans, after prior notice.

13) Refunds & cancellations (summary)

Subscriptions/Retainers: cancel anytime; no refunds for elapsed periods.
One-time Services/Bundles: 100% refundable before kickoff; non-refundable after kickoff.
Bookings: refundable/reschedulable ≥24h; otherwise non-refundable.
Digital: non-refundable once delivered.
Setup fees: non-refundable after provisioning.

14) Chargebacks & disputes

If something goes wrong, contact support@[domain] first so we can investigate and remedy. Filing a chargeback without contacting us may delay resolution. We may submit evidence to the processor to resolve disputes.

15) Suspension & termination

We may suspend/terminate for non-payment, breach, or compliance risk. You remain responsible for valid charges through the date of termination. Upon termination, your license to our materials ends (except as permitted for internal records).

16) Disclaimers

Services are provided “as-is”. We do not give legal, tax, investment, or accounting advice. Outcomes such as bank accounts, visas, residencies or citizenships depend on third parties and are not guaranteed.

17) Liability cap

To the maximum extent allowed by law, our total liability for any claim arising from a plan is limited to the fees you paid for that plan (for recurring plans, the fees paid in the last billing period). We are not liable for indirect, incidental, special, consequential, or punitive damages.

18) Force majeure

Neither party is liable for delays/failures caused by events beyond reasonable control (e.g., outages, regulatory actions, strikes, war, natural disasters).

19) Governing law & venue

These Terms are governed by the laws of [State, USA] (without regard to conflicts rules). Exclusive venue is the state or federal courts in [County, State]. You consent to personal jurisdiction there.

20) Changes to these Terms

We may update these Terms at any time. The version posted on this page is the current version. Material changes for recurring plans will be notified in advance.

21) Notices

Formal notices must be sent to [Legal Name], [Address], [Email]. Routine communications may be sent by email.

Plan-specific addenda

Subscriptions/Retainers: renew automatically; cancel anytime; setup fees non-refundable after provisioning.
Formation/Banking-Ready: advisory only; government/bank fees paid directly; approvals/timelines not guaranteed.
Payments Integration: performed on your PSP; no aggregation, proxy, or custody of funds.
Compliance & KYC: templates are starting points; you remain responsible for implementation and compliance.
Residency by Investment: coordinated with licensed counsel; no guarantee of visa/citizenship; official fees paid directly.
Acceptance: By purchasing a plan you acknowledge that you have read and agree to these Terms.
